These Terms of Service ("Terms") govern your use of the TakeawayFriend platform ("Service"). By creating an account or using the Service, you ("you", "the Restaurant") agree to be bound by these Terms.
The Service is operated by TakeawayFriend ("we", "us", "our"), based at 1/3 DunEden Business Centre, 8 Harrison Road, Dundee, DD2 3SN, United Kingdom.
1. The Service
TakeawayFriend provides a software platform that enables restaurants to take online orders. The Service includes:
- A branded ordering website hosted on a subdomain of takeawayfriend.co.uk
- An Android Restaurant POS application for managing orders
- A live kitchen display system
- Integration with Stripe for accepting card payments
- Email order confirmation to your customers
- Tools for managing menus, opening hours, drivers, and refunds
2. Account registration
To use the Service, you must create an account with accurate information. You are responsible for:
- Maintaining the confidentiality of your account login
- All activity that occurs under your account
- Notifying us immediately of any unauthorised access
You must be at least 18 years old and authorised to act on behalf of the restaurant.
3. Pricing and payment
Use of the Service requires a monthly subscription of £49 plus a one-time setup fee, both of which are subject to change with 30 days' notice. Subscription fees are billed monthly in advance and are non-refundable except as required by law.
You will be billed via the payment method you provide. If a payment fails, we may suspend your account until the issue is resolved.
4. Customer payments and Stripe
Card payments from your customers are processed directly by Stripe and paid into your own Stripe account. TakeawayFriend never holds customer funds. You are responsible for:
- Maintaining a Stripe account in good standing
- Complying with Stripe's terms of service
- Issuing refunds to your customers when appropriate
- Paying any Stripe processing fees (these are separate from our subscription fee)
5. Your responsibilities as a restaurant
You are solely responsible for:
- The accuracy of your menu, pricing, allergen information, and opening hours
- Fulfilling orders placed through the Service in a timely manner
- Compliance with all applicable food hygiene, health & safety, allergen labelling, and consumer protection laws
- Issuing refunds, handling complaints, and managing disputes with your customers
- Maintaining a valid food business registration with your local authority
- Acting as the data controller for your customers' personal data, including providing your own customer-facing privacy policy and complying with UK GDPR
6. Data Processing Agreement
When customers place orders through your TakeawayFriend ordering site, we process their personal data on your behalf. By accepting these Terms, you also accept our Data Processing Agreement, which forms part of these Terms.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose
- Sell items prohibited by law (controlled substances, counterfeit goods, etc.)
- Misrepresent your business, menu, or capabilities to customers
- Attempt to reverse-engineer, copy, or interfere with the Service's technology
- Use the Service to spam or send unwanted marketing
- Impersonate another business or individual
We reserve the right to suspend or terminate accounts that violate these Terms, especially where a violation may harm customers or our reputation.
8. Service availability
We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance, updates, or repairs that temporarily affect availability. We will give reasonable notice for planned maintenance where possible.
9. Intellectual property
The TakeawayFriend platform, including its software, design, branding, and content, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service. Your menu, branding, and uploaded content remain your property; you grant us a licence to use them solely to provide the Service.
10. Limitation of liability
To the maximum extent permitted by law, TakeawayFriend's total liability to you for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for:
- Indirect, consequential, or incidental damages
- Lost profits, lost revenue, or lost data
- Issues caused by your acts or omissions, or those of your customers, drivers, or suppliers
- Stripe payment processing issues, declined cards, or chargebacks
- Disputes between you and your customers
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited.
11. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, or costs (including legal fees) arising from:
- Your breach of these Terms
- Your menu items causing illness, allergic reaction, or harm
- Any dispute between you and your customers
- Your failure to comply with applicable laws
12. Termination
You may cancel your subscription at any time by contacting us at admin@takeawayfriend.co.uk. Cancellation takes effect at the end of your current billing period. We do not provide pro-rata refunds.
We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or pose a risk to customers or our platform.
Upon termination, your ordering site will be taken offline and your data will be handled in accordance with our Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
